Terms and Conditions
PLEASE CAREFULLY READ ALL OF the following terms and conditions, which include, among other things, a LIMITED LICENSE that contains express LIMITATIONS ON THE USE OF THE PURCHASED MATERIALS (the “Works”). If, on behalf of your school or organization (“School” or “you”), you agree with these terms, indicate your assent below.
Umoja hereby grants to School a limited, non-exclusive, non-transferable, worldwide, royalty-free limited right and license to reproduce, distribute, and publicly display all or part of the Umoja Disciplinary Intervention Curriculum (any part, individually, and the complete set, collectively, referred to herein as the “Works”) solely in connection with School’s operations at its address. The right to reproduce the Works shall be limited to a total number of 100 copies of each lesson. School shall ensure that all copies in circulation are destroyed at the end of the year, including but not limited to, by instructing students to whom they have been distributed to do so. It shall also be School’s obligation to notify Umoja of any updates to the estimated number of students served and, upon request by Umoja, to provide Umoja any other or additional usage information related to the Works, including but not limited to, for various periods of time, a reasonable estimate of the number of copies made of any or all of the Works, of the number of copies of any or all of the Works in circulation, of the number of copies of any or all of the Works distributed to teaches, of the number of copies of any or all of the Works distributed to students, and/or of the number of students served by School at its address.
For purposes of clarity, the Rights shall not extend to reproduction, distribution, and/or public display of the Works beyond what is reasonably necessary for use in connection with School’s operations at its address. By way of non-limiting examples: (1) School shall not have the right to sell or distribute the Works for commercial purposes; (2) School shall not have the right to sub-license to third parties this license or any of the rights granted herein; (3) School shall not share the Works with other schools, individuals, or entities other than School and its employees and agents for any reason; and (4) School shall not use the Works in any promotional materials, without prior written authorization from Umoja. Umoja shall at all times own any and all copyrights and all other intellectual property rights in and to the Works and any works derived therefrom. This LIMITED LICENSE does not in any way limit Umoja’s rights in and to the Works. In the event that School shall be in default under the terms of this LIMITED LICENSE or any agreement with Umoja related to Umoja’s work with School, this LIMITED LICENSE and School’s rights shall terminate at Umoja’s sole discretion.
At all times, Umoja shall have the right and the option, in its sole discretion and with reasonable notice to School, to modify the terms of the limited license as set forth in this LIMITED LICENSE section as to the number of copies made or in circulation as to all or any part of the Works. Umoja will exercise such discretion based upon the scope of its rights in and to third-party works, if any, included in the Works.
School shall ensure that all such copies retain the Umoja’s copyright notice.
Umoja shall not be responsible for any claims, expenses, attorneys’ fees, or fines arising out of the use of the Works and shall not be required to defend, indemnify or hold harmless you, your school, or your organization for any reason.
Umoja makes no representations or warranties, express or implied. To the maximum extent permitted under applicable law, School expressly disclaims all representations, warranties and conditions, express or implied.
LIMITATION OF LIABILITY
In no event shall Umoja be liable for any losses or damages incurred by you, whether direct, indirect, incidental, special, exemplary, or consequential; including but not limited to, lost or anticipated profits, savings, interruption to business, loss of business opportunities, or loss of business information, arising out of use of the Works. In no event shall Umoja be liable for any special, punitive, or exemplary damages arising out of any alleged breach of this agreement.
You acknowledge and agree that it is preferable to resolve all disputes between Umoja and you confidentially, individually, and in an expeditious and inexpensive manner. Umoja and you accordingly acknowledge and agree that private dispute resolution is preferable to court actions. Further, before commencing any formal proceeding, both Umoja and School will attempt to resolve any dispute or difference by way of good faith negotiation. The good faith negotiation shall commence by communication in writing of each party’s position regarding the complaint, claim, dispute, or controversy, beginning with the alleged aggrieved party. The parties shall then make good faith efforts to negotiate a resolution of the claim, dispute, or controversy. No formal proceeding shall commence unless and until the good faith negotiation fails. In the event good faith negotiations fail, the dispute shall be resolved by an arbitration proceeding pursuant to JAMS arbitration rules and procedures, and all such arbitration proceedings shall be held in Chicago, Illinois.
RELATIONSHIP OF THE PARTIES
This Agreement does not constitute a partnership or joint venture, and nothing herein contained is intended to constitute, nor will it be construed to constitute, such a partnership or joint venture.
All notices and communications regarding the subject matter of this agreement shall be provided in writing to Umoja’s headquarters (at the address listed on its website) or to the address School provides in writing to Umoja (at the address listed on its website).
CHOICE OF LAW
This agreement and any sales hereunder shall be deemed to have been made in the state of Illinois and shall be construed and interpreted according to the laws of the state of Illinois.
